Contract Manager

Dynatrace is excited to hire a Contract Manager, Commercial Legal Center, to join our Global Commercial Legal team. This is a role supporting the Commercial Legal Center, a centralized team that helps scale legal support for high-volume commercial contracting, contract management, and legal operations work across the global business.
Responsibilities:
- Review, draft, redline, and manage routine commercial contracting documents, including NDAs, order forms, amendments, assignments, account name change documentation, and other transactional documents.
- Support sales contracting matters, including segments of Dynatrace’s global customer base, applying Dynatrace’s standard positions, playbooks, and internal guidance.
- Support procurement-related legal requests, including vendor order forms, SaaS/professional services agreements, lease and corporate real estate matters, and other buy-side documents routed to the Commercial Legal Center.
- Apply Dynatrace guidelines and policies to identify and resolve non-compliant or non-standard terms, escalating legal and business risks to attorneys or appropriate stakeholders when needed.
- Work closely with attorneys on the Commercial Legal team and other internal stakeholders to support appropriate resolution of contractual issues, including where active negotiation or attorney involvement is required.
- Handle contract management and contract administration tasks, including maintaining accurate contract records, organizing documents, summarizing key terms, identifying relevant provisions, and updating contract-related fields in Salesforce, CLM, Zip, SharePoint, or other company systems.
- Support DocuSign and signature workflows, including preparing agreements for signature, adding exhibits or attachments, formatting documents, coordinating completion of signature packets, and ensuring final executed documents are properly stored.
- Support account name changes, assignments, novations, and related requests by reviewing available documentation, gathering necessary information, coordinating with business stakeholders, and preparing or managing required contract documentation.
- Partner with Sales, Renewals, Order Management, Sales Operations, Procurement, Business Systems, Finance, Privacy, Security, and other cross-functional teams to move matters forward efficiently.
- Help improve CLC processes, SOPs, playbooks, templates, intake workflows, and contract management practices.
- Support CLM improvement and selection efforts, including helping identify workflow gaps, routing issues, repository needs, and practical requirements for the Commercial Legal Center and broader Commercial Legal team.
- Handle administrative and operational work relevant to contract review and management, including document formatting, attaching exhibits, data entry, repository cleanup, contract searches, and other tasks needed to keep commercial contracting work moving.
This is a remote eligible position. Candidates who live within a 45 mile radius of our Sao Paulo, Brazil office will be required to work hybrid. All other candidates can sit remotely.
What will help you succeed
- 4-6+ years of contract management, contract administration, or commercial contracting experience, preferably in an in-house legal department at a software, technology, or global commercial organization.
- Experience reviewing and managing commercial contracts, including SaaS agreements, order forms, amendments, NDAs, professional services agreements, reseller or partner-related documents, and vendor/supplier agreements.
- Strong understanding of contract management processes, contract repositories, CLM systems, Salesforce, document management tools, and e-signature workflows.
- Ability to review and redline contracts in Microsoft Word using track changes and providing appropriate margin comments.
- Ability to apply internal playbooks, templates, fallback positions, and escalation guidance to routine contracting matters.
- Good judgment in knowing when to resolve an issue independently, when to involve an attorney, and when to escalate a legal or business risk.
- Strong attention to detail and comfort handling both substantive contract review and operational contract administration work.
- Ability to manage multiple matters at once in a fast-paced, sales-driven environment without sacrificing accuracy or responsiveness.
- Strong written and verbal communication skills, with the ability to work effectively with attorneys, business stakeholders, and cross-functional teams.
- Practical, business-oriented, and comfortable balancing legal risk, business needs, and operational efficiency.
- Collaborative, flexible, and willing to take on work ranging from contract review to document formatting, data entry, process cleanup, and other administrative tasks.
- Must be fluent in English, both written and verbal, with demonstrated ability to draft, revise, and communicate clearly on contract-related issues.
- J.D. degree is not required.
